SmartQuote ("SmartQuote", "we", "us") is owned and operated by Oliver Chifadza, an individual sole trader based in the Eastern Cape, South Africa, trading as SmartQuote. By creating an account or using the service, you are entering into an agreement with Oliver Chifadza. You can reach us at ochifadza@gmail.com.
1. Acceptance of these terms
By registering for, accessing or continuing to use SmartQuote, you agree to be bound by these Terms & Conditions. If you do not agree, you must stop using the service. If you use SmartQuote on behalf of a business, you confirm you have authority to bind that business. If you use it as an individual, you confirm you are of legal age to enter into a contract.
2. The service
SmartQuote is web-based quoting software for trades businesses. It lets you build quotes from industry templates, capture labour and materials line items, manage clients, apply tax rates and terms, and export quotes as PDFs. Features available to you depend on the plan you have selected.
3. Your account
- You must provide accurate registration information and keep it up to date.
- You are responsible for keeping your login credentials confidential and for all activity that takes place under your account.
- Tell us promptly at ochifadza@gmail.com if you suspect unauthorised access.
4. Acceptable use
You must not misuse SmartQuote. In particular, you must not:
- use the service for any unlawful purpose or in breach of any applicable law;
- use it to commit fraud, send spam, or issue misleading or fraudulent quotations;
- infringe the intellectual property or privacy rights of any other person;
- interfere with the security or integrity of the service — including introducing malware, probing or scanning for vulnerabilities, scraping, or attempting to circumvent access controls, rate limits or plan restrictions;
- reverse engineer, resell or redistribute the service or any part of it.
5. Your content
You keep ownership of the quotes, client records and other content you enter. You grant us a limited licence to host, store and process that content solely for the purpose of providing the service to you. You are responsible for ensuring you have the right to upload any client information you enter and for its accuracy.
6. Our intellectual property
We retain all rights, title and interest in SmartQuote, including its software, templates, documentation, name and branding. Your subscription grants you a limited, non-exclusive, non-transferable right to use the service within the plan you have selected. Nothing in these terms transfers ownership of our intellectual property to you.
7. Payment, billing and subscriptions
Paid plans are billed monthly in advance. Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.
Payment, billing, tax, currency, cancellation and refund mechanics are governed by Paddle's Buyer Terms. Subscriptions renew automatically each month until cancelled. You may cancel at any time; cancellation takes effect at the end of the current billing period and you retain access until then. See our Refund Policy for refunds.
8. Service availability
We work to keep SmartQuote available and reliable, but we do not guarantee that the service will be uninterrupted, timely, secure or error-free. Maintenance, updates or events outside our control may cause downtime. To the fullest extent permitted by law, all implied warranties, including merchantability and fitness for a particular purpose, are disclaimed.
9. No professional advice
SmartQuote helps you calculate and present pricing, but estimates, tax rates and calculator outputs are tools only. They are not financial, tax, legal or professional advice. You are responsible for checking your own pricing, VAT registration status and tax rates before sending a quote to a customer.
10. Suspension and termination
We may suspend or terminate your access where:
- you materially breach these terms;
- payment for your plan fails or remains outstanding;
- we reasonably believe there is a security or fraud risk;
- you repeatedly or seriously violate our acceptable use rules.
You may stop using the service and close your account at any time. On termination, your access ends and your data may be deleted after a reasonable export window. Contact us if you need an export of your data.
11. Liability
To the fullest extent permitted by law, our total aggregate liability arising out of or in connection with the service is limited to the fees you paid us in the twelve months preceding the claim. We are not liable for indirect, consequential or special damages, including loss of profits, business, data or goodwill. Nothing in these terms excludes liability for fraud, death or personal injury caused by our negligence, or any other liability that cannot lawfully be excluded.
12. Indemnity
You agree to indemnify us against claims, losses and costs arising from your content, your unlawful use of the service, or your breach of these terms.
13. Changes to these terms
We may update these terms from time to time. Material changes will be notified by email or in the app. Continued use after changes take effect means you accept the updated terms.
14. Governing law
These terms are governed by the laws of the Republic of South Africa, and the South African courts have jurisdiction over any dispute. You may not assign your rights without our consent; we may assign ours in connection with a merger, acquisition or sale of the business. Neither party is liable for delays caused by events beyond its reasonable control.
